InOrbit Education Edition Terms of Service addendum

InOrbit Education Edition operates under the existing InOrbit Terms of Service as outlined for all users of the InOrbit platform at https://www.inorbit.ai/terms.html, with the following addendum.

 

Effective Date: August 1, 2023

This Terms of Service addendum constitutes a legally binding agreement between InOrbit, Inc., a Delaware corporation (“we” or “InOrbit”) and the applying Educational Organization ("Educational Organization", “you” or “Customer”) regarding the subscription services made available through the InOrbit Platform. InOrbit and Customer shall individually be referred to as a “Party” and collectively as the “Parties.”

By checking the “Agree to InOrbit Education Edition TOS addendum” box, you agree to be bound by this Terms of Service addendum.

1. LICENSE TO INORBIT SOFTWARE
   1. InOrbit reserves the right to determine the qualification status of an Educational Organization at its sole discretion and may revoke, or revise any qualification status at any time per its discretion. Educational Organizations that fall under the common categories of university, college, non-profit educational organizations, robotics clubs, and select research groups or laboratories are encouraged to apply for InOrbit Education Edition access. 
   2. InOrbit Education Edition will be granted to one (1) designated Administrator ("Admin" or "Licensee") per qualified Educational Organization for its use on each instance of a Certified Device a non-exclusive, non-transferable, revocable, royalty-free license, during the Term, to use the InOrbit Software for the purpose of enabling Licensee’s devices to connect to the InOrbit Platform.
   3. Please do not abuse the system. InOrbit Education Edition is intended to support an unlimited number of robots, however, should it be determined by InOrbit that an unreasonable, per its discretion, number of robots are in use under this License then we will contact the Educational Organization's Admin to discuss solutions. This may include revision of the existing license or termination of said License. 
   4. InOrbit Education Edition will be provided at zero cost for qualified Educational Organizations. This license is granted for one (1) year from the date of activation, at which time the account will be revised to ensure the qualification status is still met.
2. PRIVACY
   1. InOrbit reserves the right to share relevant contact information, including the name and email address of any participating Educational Organization's Admin with other parties from the same Educational Organization.
3. PROMOTIONAL LICENSE 
   
   1. The Educational Organization hereby grants InOrbit the right to use promotional content and materials that Participant has released to InOrbit, including without limitation the Educational Organization's name, logo, trademarks, trade names, promotional content, device model identifiers, and device capabilities and/or features (the "Educational Organization's Materials”) for the explicit purpose of identifying and promoting the Educational Organization as am InOrbit Education Edition user. For the avoidance of doubt, InOrbit shall have the right to use the Educational Organization's Materials on the InOrbit Education Edition webpage available at https://www.inorbit.ai/edu, as well as in other promotional materials created and published by InOrbit.
   2. InOrbit hereby grants the Educational Organization the right to use InOrbit’s name and logo, and the InOrbit Education Edition promotional materials available upon request, for the explicit purpose of identifying and promoting the Educational Organization as an InOrbit Education Edition user.
